Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Spartan X Corp ("Automic Trades," "we," "us," "our") governing your access to and use of the website automictrades.com, the application at app.automictrades.com, and the pro-side companion at the /crew route (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy.

If you accept these Terms on behalf of a business, you represent that you have authority to bind that business and references to "you" refer to that business.

Automic Trades is an operational platform for independent trade businesses. The Service includes a network of AI-driven specialists ("agents") that execute administrative and operational work — for example, responding to leads, sending invoices, posting content, and reconciling books — together with the data, integrations, and user interfaces required to direct and observe that work.

Some functions require an Owner to connect third-party accounts (such as QuickBooks Online, Google, Meta, Stripe, or Jobber). Access to those features is governed by the third party's own terms in addition to these Terms.

You must be at least 18 years old and operate a lawful business to create an Owner account. You are responsible for keeping your credentials secret and for all activity that occurs under your account.

Owners may invite managers, shift leads, and field workers (collectively, "Team Members") to use the Service. The Owner is responsible for the Team Members they invite and is the data controller for any personal information those Team Members provide while using the Service on the Owner's behalf.

The Service is offered on a recurring subscription basis. Current pricing is published at automictrades.com. By starting a subscription you authorize us (through Stripe) to charge your payment method on the recurring schedule shown at checkout until you cancel.

Founding and intro pricing. We may offer founding-customer or time-limited intro pricing. Eligibility, caps, and the redemption rules are described at checkout and in our pricing page. Unless otherwise stated, the half-off intro window is one-time per business entity (tracked by EIN/SSN hash); cancelling and resubscribing does not reset the intro window.

Cancellation. You may cancel any time from the billing portal. Cancellation takes effect at the end of the current billing cycle. We do not issue refunds for partial months unless required by law.

Taxes. Prices are exclusive of applicable sales, use, value- added, or similar taxes. Where required, we will collect such taxes on your invoice.

You agree not to:

• Use the Service for any unlawful purpose or to violate any third party's rights.
• Send unsolicited bulk messages (spam) through the Service.
• Use the Service to harass, threaten, or harm any person; or to send messages containing hate speech, sexually explicit content, or content related to direct lending, controlled substances, gambling, or age-gated material as defined by carrier or CTIA guidelines.
• Attempt to interfere with the Service's security, throttle, scrape, or reverse-engineer it; or use it to develop a competing product.
• Use the Service to send messages that misrepresent who you are or that suggest a recipient has agreed to receive messages they have not, in fact, agreed to receive.

Program name: Automic Trades SMS.

Description: Automic Trades sends transactional messages on behalf of Owners and their businesses. Categories include account authentication and one-time passcodes (e.g., for /crew sign-in), account and billing notifications, appointment and dispatch reminders, customer service replies, invoice and payment notifications, and other operational communications initiated by an Owner or by an Owner's authorized AI specialist.

Frequency: Message frequency varies based on your activity and the activity of the Owner's business. There is no fixed cadence.

Cost: Message and data rates may apply from your wireless carrier. Automic Trades does not charge a separate per-message fee to recipients.

Help: Reply HELP to any message for help, or email support@automictrades.com.

Opt-out: Reply STOP to any message to unsubscribe from that program. After replying STOP you will receive one final confirmation message and no further messages from that program.

Carriers: Carriers (including AT&T, T-Mobile, Verizon, and others) are not liable for delayed or undelivered messages. Supported carriers may change without notice.

Consent: By submitting your phone number on a sign-up, sign-in, or invitation flow, you consent to receive transactional SMS related to that workflow. Consent to receive SMS is not a condition of any purchase.

As between you and Automic Trades, you retain ownership of the customer, financial, and operational data you input into the Service ("Owner Data"). You grant us the rights necessary to host, process, transmit, and display Owner Data to provide the Service.

We use third-party AI providers (currently Anthropic) to power agent reasoning. We do not permit those providers to train models on Owner Data, and we do not use Owner Data to train generative models for use outside your account. Logs of agent activity are retained for support, debugging, and audit purposes per our Privacy Policy.

We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We will give Owners reasonable advance notice of materially adverse changes.

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be error-free or that any AI-generated output will be accurate, complete, or fit for a particular purpose. You are responsible for reviewing AI-generated output before relying on it for legal, tax, financial, or other consequential decisions.

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or related to these Terms or the Service. Our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months preceding the claim, or (b) one hundred U.S. dollars (US$100).

You will defend, indemnify, and hold us harmless from any third-party claim arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your Owner Data, or (c) your messages to recipients (including alleged violations of TCPA, CAN-SPAM, or similar laws).

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or if we are required to do so by law or by a service provider whose rules apply. On termination, your right to use the Service ceases. Sections that by their nature should survive termination will survive (including IP, disclaimers, limitation of liability, indemnification, and governing law).

These Terms are governed by the laws of the State of Florida, without regard to its conflicts-of-law principles. The state and federal courts located in Pinellas County, Florida have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. If changes are material, we will notify Owners by email or in-product notice and will update the Effective Date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
